These Terms of Use (“Terms”) govern your access to and use of The Cafe Operator website, membership platform, educational content, courses, programs, community features, events, resources, downloads, consulting information, and other services made available through our website (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a product or service, or otherwise interacting with The Cafe Operator, you agree to these Terms.

If you do not agree to these Terms, please do not use the Services.

1. About The Cafe Operator

The Cafe Operator provides educational resources, training, consulting, community experiences, tools, programs, and other services for current and aspiring coffee shop owners, operators, managers, and other coffee industry professionals.

Our Services are designed to provide practical education and guidance based on professional and industry experience.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use paid Services.

By creating an account, making a purchase, or enrolling in a program, you represent that you meet these requirements.

If you are using the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

3. Educational and Informational Purposes

The content and Services provided by The Cafe Operator are intended for educational and informational purposes.

Although our content may address topics including business operations, profitability, pricing, labor, staffing, sales, budgeting, financial performance, marketing, management, hiring, menu development, business planning, and other business matters, the information we provide should not be considered legal, tax, accounting, investment, employment, regulatory, or other licensed professional advice.

You are responsible for determining whether information provided through our Services is appropriate for your particular circumstances.

The Cafe Operator does not guarantee any particular financial, operational, employment, sales, profitability, growth, investment, fundraising, or other business result from using our Services.

Examples, case studies, testimonials, financial discussions, business scenarios, or results discussed through our Services are provided for educational purposes and should not be interpreted as promises or guarantees that you will achieve similar results.

Your results may vary substantially based on factors including your market, location, concept, pricing, competition, management, employees, operating costs, financial condition, implementation, economic conditions, and other circumstances beyond our control.

You remain solely responsible for the decisions you make regarding your business.

5. Business Decisions and Assumption of Risk

You acknowledge that business decisions involve inherent financial and operational risks.

Any action you take based on information obtained through The Cafe Operator is taken at your own discretion and risk.

The Cafe Operator cannot evaluate every circumstance affecting your business and is not responsible for losses resulting from your implementation, interpretation, or use of educational information or recommendations provided through the Services, except to the extent liability cannot lawfully be excluded.

You agree to provide accurate and current information and to maintain the confidentiality of your account credentials.

You are responsible for activity occurring through your account.

You may not share account credentials with individuals who have not purchased or otherwise been authorized to access the applicable Services.

7. Memberships and Subscriptions

Certain Services may be offered through recurring memberships or subscriptions.

By purchasing a recurring subscription, you authorize the applicable payment provider to charge the payment method associated with your account according to the price and billing frequency disclosed at checkout until the subscription is canceled.

Membership features, content, resources, and benefits may evolve over time as The Cafe Operator develops and improves its offerings.

Material payment, renewal, and cancellation terms will be disclosed during the purchase process and may also be governed by our Refund & Cancellation Policy.

8. Purchases and Payments

Prices for memberships, courses, programs, events, consulting services, and other offerings will be displayed or otherwise communicated before purchase.

You agree to provide accurate billing and payment information.

Payments may be processed through third-party payment processors, and your use of those services may also be subject to the processor's terms.

You are responsible for applicable taxes, fees, or other charges associated with your purchase unless otherwise stated.

9. Refunds and Cancellations

Refund eligibility, subscription cancellation, consulting cancellations, event cancellations, and similar matters are governed by the terms disclosed at purchase and our Refund & Cancellation Policy.

Certain programs or services may have additional cancellation or refund provisions.

Where program-specific terms conflict with the general Refund & Cancellation Policy, the program-specific terms will control for that offering to the extent permitted by law.

10. Courses, Programs, and Coaching

The Cafe Operator may provide courses, workshops, coaching, accelerators, educational programs, and other structured learning experiences.

Program schedules, instructors, content, resources, session formats, and other elements may occasionally need to change.

We reserve the right to make reasonable modifications to scheduling, curriculum, instructors, delivery methods, or program materials when necessary.

Material changes affecting a particular paid program will be handled according to the terms applicable to that program and applicable law.

Certain programs, including The Exchange, may be subject to separate program terms or participation agreements. If you participate in such a program, those additional terms become part of your agreement with The Cafe Operator.

11. Intellectual Property

Unless otherwise stated, the Services and all materials made available through The Cafe Operator are owned by or licensed to The Cafe Operator and are protected by applicable intellectual-property laws.

This includes, without limitation:

• Videos

• Courses

• Training materials

• Templates

• Worksheets

• Checklists

• Guides

• Presentations

• Written content

• Graphics

• Photographs

• Branding

• Website content

• Program structures

• Frameworks

• Downloads

• Recordings

• Resource libraries

• Databases and compilations

Purchasing access to a Service does not transfer ownership of the underlying intellectual property.

12. Limited Personal and Business-Use License

When you purchase or are granted access to The Cafe Operator materials, we grant you a limited, non-exclusive, non-transferable, revocable license to use those materials for your own personal education or internal business purposes, subject to these Terms.

Unless we provide written permission, you may not:

• Copy or reproduce materials for distribution

• Sell or resell our materials

• Share paid materials with unauthorized users

• Publish our materials online

• Upload our materials to shared databases or repositories

• Create competing courses or training products substantially derived from our materials

• Remove copyright, trademark, or ownership notices

• Record, download, scrape, or systematically extract content except where expressly permitted

• Use our content to train or populate commercial artificial-intelligence systems, datasets, knowledge bases, or competing products

• Represent our materials as your own

You may use tools, templates, and educational principles you receive through our Services in operating your own business where that is their intended purpose.

13. Community Features

The Cafe Operator may provide groups, discussions, comments, community areas, events, or other opportunities for users to interact.

You agree to interact professionally and respectfully.

You may not use community features to:

• Harass, threaten, or abuse others

• Discriminate unlawfully against others

• Post unlawful or defamatory content

• Impersonate another person

• Distribute spam or unauthorized advertising

• Solicit users for unrelated commercial purposes

• Share another person's confidential information without permission

• Upload malicious software or harmful content

• Infringe intellectual-property rights

• Interfere with the operation of the community or Services

The Cafe Operator reserves the right to moderate community areas and remove content or restrict participation when reasonably necessary to protect participants or maintain the integrity of the community.

14. User-Submitted Content

If you submit comments, questions, community posts, testimonials, feedback, Help Line questions, or other content through the Services, you retain ownership of content you own.

You grant The Cafe Operator a non-exclusive license to host, store, reproduce, and display that content as reasonably necessary to operate the feature or Service through which it was submitted.

We will obtain any additional permissions required before using identifiable customer content for materially different promotional purposes where such permission is required.

You represent that content you submit does not violate another person's rights or applicable law.

15. Confidential and Sensitive Business Information

Some Services may allow participants to discuss their businesses, financial performance, staffing, operations, or other potentially sensitive information.

You are responsible for determining what information you choose to disclose.

​

Unless a separate written agreement expressly provides otherwise, participation in a group, community, event, course, or public submission feature should not be treated as establishing a legally privileged or professional confidential relationship.

​

Participants should not disclose information they are not authorized to share.

Programs such as The Exchange may impose additional confidentiality requirements on participants through separate program terms.

​

16. Recordings

Certain classes, workshops, events, coaching sessions, or programs may be recorded.

When recording is part of a particular program or event, participants will be provided with applicable notice and, where required, consent will be obtained.

Additional recording terms may be included in program-specific agreements.

​

You may not independently record, reproduce, distribute, publish, or commercially exploit The Cafe Operator sessions without prior written permission.

17. Testimonials

Testimonials and customer experiences appearing through our Services represent the experiences of the individuals providing them.

They do not guarantee that current or future customers will achieve the same or similar results.

​

Where appropriate, we may edit testimonials for length, grammar, or clarity without materially changing their meaning.

18. Third-Party Services and Links

The Services may integrate with or link to third-party websites, payment processors, video platforms, social networks, scheduling systems, software, resources, or other services.

The Cafe Operator does not control all third-party services and is not responsible for their availability, content, security, terms, privacy practices, or performance.

Your use of third-party services may be governed by separate terms and policies established by those providers.

We strive to keep our Services available and functioning properly, but we cannot guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of maintenance, technical problems, third-party outages, security issues, updates, or circumstances beyond our reasonable control.

We may modify, update, suspend, or discontinue portions of the Services when reasonably necessary.

20. Prohibited Uses

You may not use the Services to:

• Violate applicable law

• Infringe another person's rights

• Attempt unauthorized access to accounts or systems

• Circumvent access or payment restrictions

• Scrape or systematically extract protected content without permission

• Introduce malware or harmful code

• Disrupt website operations

• Misrepresent your identity

21. Suspension and Termination

• Conduct that materially disrupts a program or community

Any refund following termination will be determined according to applicable program terms, our Refund & Cancellation Policy, and applicable law.

22. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

The Cafe Operator makes no warranty that the Services will be uninterrupted, error-free, suitable for every business, or produce any particular result.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

23. Limitation of Liability

To the fullest extent permitted by applicable law, The Cafe Operator and its owners, officers, employees, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or business interruption arising from or relating to your use of the Services.

To the fullest extent permitted by law, The Cafe Operator's aggregate liability arising out of or relating to a particular paid Service will not exceed the amount you actually paid to The Cafe Operator for that Service during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply where applicable law prohibits their application.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless The Cafe Operator and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful use of the Services, your material violation of these Terms, your infringement of another person's rights, or content you submit through the Services.

This provision does not require you to indemnify any party for conduct for which indemnification cannot lawfully be required.

25. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute-resolution provisions contained in a separate written agreement or program agreement will control with respect to the services governed by that agreement.

26. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements.

The “Last Updated” date will indicate when these Terms were most recently revised.

Material changes will apply prospectively as required by applicable law, and additional notice may be provided when appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where possible, and the remaining provisions will remain in effect.

28. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

29. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Cancellation Policy, and any applicable purchase, membership, consulting, event, or program-specific terms, constitute the agreement governing your use of the applicable Services.

If a separately executed agreement expressly conflicts with these Terms, the separately executed agreement will control with respect to the subject matter of that agreement.
